These Terms and Conditions govern your participation in the partnership program operated by Muscle Foods Ltd. ("we," "our," or "us") through Shopify Collabs or directly through our Partnerships team.
The Muscle Food Partnership Program allows Personal Trainers, Gyms, and approved individuals or businesses to promote our range of health food products and earn commissions.
By applying to, or participating in our partnership program, you agree to the below Terms and Conditions. Please also familiarise yourself with the Shopify Collabs Terms.
Definitions
“Our”, “We”, “Us” Muscle Foods Limited (CRN 9019725);
“Order” an order for Products placed using Your unique code with Us;
“Products” Our products (as amended, varied, replaced or altered from time to time);
“Commission” the amount per new customer referral who places an order with us using your unique link or code.
“Partnership program” the arrangement between Us and You whereby You benefit from the Commission.
“Terms” the terms set out in this document together with Our standard terms and conditions
“The website” www.musclefood.com
“You”, “Your” the individual, business or other entity which agrees to these Terms.
1. Eligibility and Registration
1.1 Our partnership program is open to:

- Individual Personal Trainers (sole traders)
- Other individuals or businesses we approve to work with us
1.2 You must be based in the United Kingdom.
1.3 You must register either:

- Through the Shopify Collabs app, or
- Directly with us
1.4 We reserve the right to approve or reject any application at our discretion.
1.5 You must provide accurate and truthful information when registering for our program.
2. Commission and Payments
2.1 You will earn commission as agreed at the point of registration or as outlined in your agreement.
2.2 A "new customer" is someone who has not previously placed an order from our website.
2.3 Commissions are subject to a 30-day holding period after purchase to allow for returns, refunds, or fraudulent activity.
2.4 Payments will be processed:

- Through Shopify Collabs' payment system if you joined through that platform
- Directly from us if you are not part of Shopify Collabs
2.5 The minimum threshold for payment (cash-out) is set by Collabs and will be detailed within your Collabs account.
2.6 Any commissions you earn will be held in your account until you meet the minimum threshold and request payment.
2.7 We reserve the right to withhold payment if we suspect fraudulent activity.
2.8 Unclaimed commissions will be held for a maximum of 12 months, after which they may be forfeited.
3. Your Promotional Activities
3.1 You may promote our products through:

- Social media posts
- Videos
- Blog content
- Direct messages to your audience
- Other channels that comply with these Terms
3.2 All promotional content must:

- Be truthful and not misleading
- Comply with UK Advertising guidelines
- Clearly disclose your relationship with us
3.3 Promotional content must not:

- Make claims that are not approved or substantiated
- Promise specific results from using our products
- Promote or encourage unhealthy habits
- Exaggerate your success using our products or plans
4. User-Generated Content (UGC)
4.1 By creating content that promotes our products ("User-Generated Content" or "UGC"), you grant us a non-exclusive, perpetual, irrevocable license to use, reproduce, distribute, and display this content for our marketing purposes, including paid advertising.
4.2 This license includes the right to:

- Use your content across our website, social media, email marketing, and paid advertising
- Edit or modify your content as needed for our marketing purposes
- Share your content with our marketing partners
4.3 You confirm that any UGC you create:

- Is your original work or you have permission to use it
- Does not infringe on anyone else's copyright, trademark, or other intellectual property rights
- Does not contain defamatory, false, or malicious statements
- Does not include personal data of others without their consent
5. Laws and Regulations
5.1 You must comply with all applicable UK laws and regulations.
5.2 You must clearly disclose your partnership relationship with us in all promotion content in accordance with ASA guidelines.
6. Term and Termination
6.1 This agreement begins when your application is approved and continues until terminated.
6.2 Either party may terminate this agreement at any time with 30 days written notice.
6.3 We may terminate your participation immediately if:

- You breach these Terms and Conditions
- You damage our reputation or brand
- We suspect fraudulent activity
- We discontinue the partnership program
6.4 Upon termination, you must:

- Stop all promotional activities for our products and brand
- Cease representing yourself as our partner/affiliate/influencer
The content may remain on social channels, if it is dormant and the content is not actively resurfaced or reposted.
6.5 Any commissions earned before termination will be paid, provided no terms have been violated.
7. Limitation of Liability
7.1 We provide this program "as is" without any warranties.
7.2 We are not liable for any indirect, special, or consequential damages arising from your participation in this program.
8. Changes to Terms and Conditions
8.1 We may update these Terms and Conditions at any time.
8.2 We will notify you of significant changes by email or through the Shopify Collabs platform.
8.3 Your continued participation in the program after changes are made constitutes acceptance of the new Terms and Conditions.
9. General Provisions
9.1 These Terms and Conditions represent the entire agreement between us regarding the Muscle Food Partnership Program.
9.2 If any provision is found to be unenforceable, the remaining provisions will still be valid.
9.3 This agreement is governed by the laws of the United Kingdom.
9.4 Any disputes will be resolved in the courts of the United Kingdom.
10. Postcode exclusions
10.1 You acknowledge that the postcodes listed below are excluded by our delivery partner: GY, JE, EI, HS, IV40, IV42 - 51, IV55 - 56, KA27 - 28, KW15 - 17, PA20, PA39, PA41 - 49, PA60 - 78, PH42 - 44, TR21 - 25, and ZE.
10.2 You agree that it is your responsibility to inform any person utilising your unique link or code, that deliveries to these areas are not possible, or that restrictions apply.
